VA and Bodygraph.com customer Agreement Template

This Agreement (“Agreement”) is entered into as of the date of signing (“Effective Date”) between Human Design Technologies LTD, trading as Bodygraph.com (“Company”) certified Virtual Assistant, and the undersigned Customer (“Customer”).
1. PURPOSE
The purpose of this Agreement is to establish the terms under which the Customer may engage a Bodygraph.com-certified Virtual Assistant (“VA”) to provide integration support services for Bodygraph.com systems.
2. ROLE OF BODYGRAPH.COM
2.1 Bodygraph.com facilitates the connection between Customers and VAs but is not responsible for the performance, actions, or omissions of any VA.
2.2 Bodygraph.com does not employ or directly manage VAs; all services provided by VAs are rendered as independent contractors.
2.3 Bodygraph.com does not guarantee the outcome, timeliness, or quality of services provided by the VA.
3. PAYMENT TERMS
3.1 Bodygraph.com does not process payments on behalf of VAs and does not take any commission from VA fees.
3.2 Any disputes regarding payments or service quality must be resolved directly between the Customer and the VA.
4. LIABILITY WAIVER
4.1 Bodygraph.com is not liable for any errors, delays, losses, or damages resulting from services provided by a VA.
4.2 Customers agree to release, indemnify, and hold Bodygraph.com harmless from any claims, liabilities, or disputes arising from their engagement with a VA.
4.3 In no event shall Bodygraph.com be responsible for any indirect, incidental, or consequential damages related to VA services.
5. CUSTOMER CODE OF CONDUCT
5.1 Customers shall treat VAs with professionalism and respect.
5.2 Abusive, discriminatory, or inappropriate behavior towards a VA may result in termination of access to Bodygraph.com’s VA directory or suspension/termination of Bodygraph.com subscription without a refund.
5.3 Customers shall provide VAs with all necessary information and cooperation required for the successful completion of tasks.
5.4. Before completing any Virtual Assistance service order, the Customer shall review and agree to the Virtual Assistant’s own terms and conditions, if such terms are made available. Bodygraph.com is not liable for the terms set individually by Virtual Assistants and encourages Customers to ensure clarity and mutual agreement prior to proceeding with services.
6. CONFIDENTIALITY
6.1 Customers shall respect the confidentiality of any proprietary Bodygraph.com information shared during the VA’s service.
6.2 Customers shall not misuse or disclose Bodygraph.com’s business information, tools, or intellectual property.
7. TERMINATION
7.1 This Agreement shall remain in effect until services are completed or until terminated by either party.
7.2 Bodygraph.com reserves the right to revoke a Customer’s access to VA services if they violate this Agreement or engage in misconduct.
8. GOVERNING LAW
8.1 This Agreement shall be governed by and construed under the laws of the United Kingdom.
8.2 Any disputes arising from this Agreement shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
9. POLICY UPDATES
9.1. Bodygraph.com may update these terms periodically to reflect changes in our practices, technology, or legal obligations. Updates will be posted on this page, and your continued use of the Virtual Assistant cervices signifies your acceptance of any changes.
10. ACCEPTANCE
By using or ordering Bodygraph.com Virtual Assistance services, the Customer agrees to be bound by these specific Terms and Conditions, as well as Bodygraph.com’s General Terms and Conditions and Privacy Policy.
